I have to remind folk that the 5 scattered stations are part of a single
CAL corporation, and that it's the CAL code which defines what corporate
records must be kept, for how long, and which of them may be inspected or
copied by a member, and what powers the Cal AG has to supervise the
complete 5-piece band.
He has to be able to dig into the records - charity non-profits are
notorious for lack of oversight of individual items like endorsed checks.
More to the point is that the complete Pacifica setup is what it is
because the articles and bylaws have been approved by vote of the
membership; we can dream up all sorts of models for the 5 stations, but
if those models don't fit with the current bylaws it may be necessary to
have the members vote to amend the bylaws.
That is quite difficult to accompiish, and I don't think the CAL ag has
the authority to do it. But he can require the Corporation to clean up its
act and that's where corporate governance is important
